Commission refers Electrabel and IEH merger to Belgian competition authorities.
One convertible loan was granted in 2009 by LNG Luxembourg(lender) to GDF Suez LNG Supply(borrower);the other in 2011 by Electrabel Invest Luxembourg(lender) to GDF Suez Treasury Management borrower.

Under the new statutes,the exclusive supply clause in favour of Electrabel was to lapse from theyear 2011, and from the year 2006 onwards the exclusivity was to concern no more than 75% of therequirements of each grouping of municipalities.
The Commission found that the merger, as originally planned, would have lead to very high combined market shares in Belgium andwould have removed GDF as the strongest competitor to the incumbents Distrigaz(gas) and Electrabel electricity and to a lesser extent gas.
However, the Commission had left open the precise date at which Electrabel had acquired control of the CNR within the meaning of the Merger Regulation, as this was not a factor in the substantive assessment of the concentration.
In its analysis the Commission also took account of the relevant market shares of the subsidiaries of Gaz de France(GDF) as Suez,the ultimate parent company of Electrabel Nederland, is in the process of seeking clearance for its intended merger with GDF see.
Suez's main energy subsidiaries are Electrabel(electricity and gas), Distrigaz(gas) Fluxys(gas infrastructures), and(in the energy services sector) Suez Energy Services(former Elyo), Fabricom, GTI, Axima and Tractebel Engineering.
In the international consortium supporting the project, power plant operators as well as suppliers are involved: Dong Energy Generation, E. ON,EDF, Electrabel, EnBW, PPC, RWE, Vattenfall Europe Generation, Vattenfall Nordic and Alstom, Hitachi-Power Europe, Burmeister& Wain Energy, Siemens.
Thus, the Court holds that it is only if Electrabel had not been virtually certain, in December 2003, of obtaining control at future general meetings, that there would have been no concentration and, therefore, no infringement of the obligation not to put the transaction into effect as from that date.
The European Commission has agreed to the request from the Belgian Ministry of Economic Affairs to refer to it the whole issue of concentration resulting from theagreement between Intercommunale d'Electricité du Hainaut(IEH) and Electrabel on the supply of electricity to eligible customers.
Following the unsatisfactory results produced by a test on irradiated materials,in March 2014 ENGIE Electrabel decided to anticipate for the scheduled shutdowns of the two reactors and to expand its analysis to verify and explain these results.
