There would be a small interim Governing Board and an interim Director-General.
Report of the Interim Director-General of the Enterprise.
The Council has been invited to consider the proposal put forward by Nautilus through the Interim Director-General of the Enterprise.
The interim Director-General would be assisted by a small group of experts drawn from the secretariat of the Authority.
He or she would report directly to the Council through the Interim Director-General of the Enterprise, and not to the Secretary-General.
The interim Director-General and the experts would carry out the functions that had been agreed to in paragraph 1 of part II. The number of experts would be increased according to the volume of work.
At its 189th, 190th and 191st meetings, on 19 and 22 July 2013 respectively,the Council considered the report of the Interim Director-General of the Enterprise.
The remuneration of the interim Director-General and experts would be paid out of the administrative budget of the Authority.
The Secretary-General of the Authority shall appoint from within the staff of the Authority an interim Director-General to oversee the performance of these functions by the Secretariat.
The Interim Director-General of the Enterprise shall present the finalized proposal to the Council in 2015 with a view to the Council issuing a directive at that time for the independent functioning of the Enterprise.
By July 1995, a Deputy to the Secretary-General of the Authority, at the D-1 level,who would also be the Interim Director-General of the Enterprise.
Nii Allotey Odunton, Deputy to the Secretary-General of the Authority and Interim Director-General of the Enterprise, speaking on behalf of the Secretary-General of the Authority, Satya Nandan, informed the Meeting about the activities carried out by the Authority.
The terms of the proposal by Nautilusare set out in a draft heads of agreement, which is annexed to the report on the proposal by the Interim Director-General of the Enterprise ISBA/19/C/4.
At the annual session of the ISA Council in the year 2015, the Interim Director-General of the Enterprise will submit the Business Proposal(in accordance with paragraph 2 of section 2 of the annex to the 1994 Agreement) to the ISA Council with a view to the Council issuing a directive for the independent functioning of the Enterprise.
The first possible option would be to increase the size andcapacity of the secretariat to establish an independent unit within the secretariat under the leadership of the Interim Director-General of the Enterprise.
It may be recalled that, according to section 2, paragraph 1, of the annex to the Agreement, the Secretary-General of the Authority shall appoint an interim Director-General of the Enterprise to oversee the performance of the functions of the Enterprise, which would be carried out by the Secretariat of the Authority until the Enterprise begins to operate independently of the Secretariat of the Authority.
According to section 2, paragraph 1, of the annex to the Agreement, the Secretariat of the Authority shall perform the functions of the Enterprise until it begins to operate independently of the Secretariat of the Authority;the Secretary-General of the Authority shall appoint an interim Director-General of the Enterprise to oversee the performance of these functions.
Thereafter, in accordance with regulation 17(1) of the Regulations, the Secretary-General on 11 April 2008 forwarded such notification to the Enterprise(represented by its Interim Director-General), whereupon the Interim Director-General informed the Secretary-General in writing that the Enterprise had no current intention of carrying out activities in the areas under application.
In order to preserve the notional independence of the Enterprise and to avoid any potential conflict of interest for the Secretary-General,the 1994 Agreement provides that the functions of the secretariat with regard to the Enterprise are to be performed under the oversight of an Interim Director-General, who is to be appointed by the Secretary-General from within the staff.
Thereafter, in accordance with regulation 17(1) of the Regulations, the Secretary-General on 18 May 2012 forwarded such notification to the Enterprise(represented by its Interim Director-General), whereupon the Interim Director-General informed the Secretary-General in writing that the Enterprise had no current intention of carrying out activities in the areas under application.
And more cost-effective, option would be to authorize the Interim Director-General to appoint from outside the secretariat a special representative and such other technical and legal advisers as may be necessary(for example, consultants and legal firms), who will be independent of the secretariat of the Authority, and of Nautilus, for the purposes of conducting negotiations on behalf of the Enterprise between now and 2015.
Such an alternative model would need to allow for the provision of independent legal andfinancial advice to the Council through the Interim Director-General of the Enterprise, or his or her representative.
Following the incident at the premises of Radio Télévision ivoirienne, where there was an attempt on the life of the Minister for Communications,the new Interim Director-General and Interim Secretary-General pledged, during the hand-over ceremony, to guarantee the impartiality and objectivity of the press and to turn RTI into an active instrument that would broadcast messages of peace and reconciliation.
Messages from Ambassador Tommy T. B. Koh, President of the Third United Nations Conference on the Law of the Sea(1980-1982), and Joseph Warioba, former Prime Minister of the United Republic of Tanzania and first Chairman of the Preparatory Commission for theInternational Seabed Authority and the International Tribunal for the Law of the Sea(1983-1987), were read by Nii Allotey Odunton, Deputy to the Secretary-General of the International Seabed Authority and Interim Director-General of the Enterprise.

The view was expressed that there was no need to establish the Enterprise at the early stage of the pre-operational period andthere was a stated preference for an arrangement whereby the Governing Board of the Enterprise was substituted for by the Assembly and the Council and the Director-General by an interim coordinator but that when commercial operations became feasible, then the members of the Governing Board and the Director-General could be elected.
