The Working Group went on to consider specific issues arising in the text on registration.
The Working Group continued its work on the preparation of a text on registration of security rights in movable assets at its nineteenth session New York, 11-15 April 2011.
It was widely felt that article 14 of the ECC was not relevant for the text on registration.
Again, some of these issues are already addressed in the Guide, but a text on registration would provide more detailed guidance as well as covering additional matters.
It was also noted that, in order to achieve that result, the terminology of the UNCITRAL e-commerce texts could be taken into account in the formulation of the text on registration.
The Guide addresses most, if not all, of these issues, but a text on registration may usefully elaborate.
A text on registration could discuss the purposes of registration of a notice of a security right in a general security rights registry, drawing on the various chapters of the Guide.
The Working Group also considered the issue of coordination of the text on registration with UNCITRAL texts on electronic communications.
A text on registration could discuss in some detail the minimum mandatory content and any additional optional content of the notice of the security right that must be registered.
Once again, the Guide addresses many,if not all, of these issues but a text on registration would provide valuable elaboration.
There was broad agreement in the Working Group that Guide was consistent with the UNCITRAL e-commerce texts and that it was important to maintain consistency also with respect to the text on registration.
After discussion, the Commission decided that Working Group VI should be entrusted with the preparation of a text on registration of security rights in movable assets as a matter of priority.
Thus, a text on registration that would include, for example, principles, guidelines and regulations with respect to the registration and searching process would usefully complete the work of the Commission on secured transactions.
Thus, the Commission may wish to consider entrusting Working Group VI with the task of preparing a text on registration as a matter of priority.
Although the Guide already addresses many if not all of these issues, a text on registration could elaborate further with more specific and detailed examples, as well as setting out sample regulations or administrative guidelines.
The Chairperson said she took it that the Commission considered that the next topic for Working Group VI should be the preparation of a text on registration of security rights in movable assets.
In the area of security interests,Japan considered it important to finalize a legal text on registration of security rights in movable assets; that would promote the availability of credit and enhance economic growth and international trade.
The work achieved so far by the Commission andother organizations mentioned above is a good indication of the likelihood that the Commission could successfully prepare a text on registration of security rights within a reasonable period of time.
Finally, a text on registration would also provide a valuable resource for the purposes of practical educational programmes and training programmes for registry administrators and personnel, as well as for financiers, businesses, lawyers and other users of the registry system.
In view of the central importance of the registry to the overall success of secured transactions legal reform,preparation of a text on registration that would substantially supplement chapter IV of the Guide would be desirable.
As the current work of Working Group VI on a text on registration of security rights in movable assets is highly relevant, the UNCITRAL Secretariat, in cooperation with the OAS Secretariat, is closely monitoring the implementation of the OAS Model Registry Regulations, particularly in the Latin American region.
At its forty-third session, in 2010, the Commission decided that Working Group VI(Security Interests)should be entrusted with the preparation of a text on registration of security rights in movable assets, which would usefully supplement the Commission's work on secured transactions.
A text on registration could discuss questions relating to the territorial scope of the registry, including:(a) the context within which conflict-of-laws issues relating to registration may arise;(b) conflict-of-laws issues relating to the registration of security rights in tangible encumbered assets; and(c) conflict-of-laws issues relating to security rights in intangible encumbered assets.
Although the Guide already addresses most, if not all,of these issues in the context of conflict of laws generally, the text on registration would focus on how these rules apply to registration-related issues, in particular and to the design of the registry.
Having agreed that the Secured Transactions Guide was consistent with the guiding principles of UNCITRAL texts on e-commerce, the Working Group also considered certain issues arising from the use of electronic communications insecurity rights registries to ensure that, like the Secured Transactions Guide, the text on registration would also be consistent with those principles A/CN.9/714, paras. 34-47.
It was also observed that the Supplement was different in that, unlike the text on registration that sought to provide practical advice on matters addressed in the secured transactions law recommended in the Guide, the Supplement sought to coordinate the law recommended in the Guide with intellectual property law.
At that session,the Working Group considered certain issues arising from the use of electronic communications in security rights registries to ensure that the text on registration would be consistent with the UNCITRAL texts on electronic communications A/CN.9/714, paras. 34-47.
The Commission also noted that, having agreed that the Secured Transactions Guide was consistent with the guiding principles of UNCITRAL texts on e-commerce, the Working Group considered certain issues arising from the use of electronic communications in security rights registries to ensure that,like the Secured Transactions Guide, the text on registration would also be consistent with those principles A/CN.9/714, paras. 34-47.
Nonetheless, it was pointed out that, although those issues needed to be addressed in the substantive secured transactions law,it would be worthwhile to inform the readers of the text on registration that notices did not always provide all the information that might be needed by a grantor or by a third party.
It was stated, while in a contractual context like that contemplated by the ECC it was appropriate for a person to informally correct errors in electronic communications,it was not appropriate in the text on registration, since once the notice was submitted it was relied upon by third parties.
