The disclosure in good faith to the competent authorities, by persons authorised within the meaning of Directive 84/253/EEC, of any fact or decision referred to in paragraph 1 shall not constitute a breach of any restriction on disclosure of information imposed by contract or by any legislative,regulatory or administrative provision and shall not involve such persons in liability of any kind.
Special or exclusive rights" means rights granted by a competent authority by way of any legislative,regulatory or administrative provision, the effect of which is to limit the exercise of activities specified in the second column of Schedule 1 to one or more entities, and which substantially affects the ability of other entities to carry out such activities.
Member States shall ensure that the reporting by employees of investment companies, management companies and depositaries referred to in paragraphs 1 and 3 shall not be considered to be an infringement of any restriction on disclosure of information imposed by contract or by any law,regulation or administrative provision, and shall not subject the person reporting to liability of any kind relating to such reporting.
That Member State shall, taking account of paragraphs 2 and 3, inform the Commission of all relevant facts, andin particular of any law, regulation, administrative provision or agreement concerning compliance with the conditions set out in paragraph 1, where appropriate together with the position adopted by an independent national authority that is competent in the activity concerned.
The disclosure to the competent authorities, by persons authorised in accordance with Directive 84/253/EEC, of any relevant fact or decision referred to in paragraph 1 of this Article shall not constitute a breach of any restriction on disclosure of information imposed by contract or by any legislative,regulatory or administrative provision and shall not involve such persons in liability of any kind.
For the purposes of this Directive,"special or exclusive rights" mean rights granted by a competent authority of a Member State by way of any legislative,regulatory or administrative provision the effect of which is to limit the exercise of activities defined in Articles 3 to 7 to one or more entities, and which substantially affects the ability of other entities to carry out such activity.
If the undertaking, business or part of an undertaking or business preserves its autonomy, the status and function of the representatives or of the representation of the employees affected by the transfer shall be preserved on the same terms and subject to the same conditions as before the date of the transfer by virtue of any law,regulation, administrative provision or agreement, provided that the conditions required for the constitution of the employee's representation are fulfilled.
For the purposes of this Directive,"special or exclusive rights" mean rights granted by a competent authority of a Member State by way of any legislative,regulatory or administrative provision the effect of which is to limit the exercise of activities defined in Articles 3 to 7 to one or more entities, and which substantially affects the ability of other entities to carry out such activity.
Regulated profession” is an activity or a set of activities of public importance and/ or essential for the life and health of persons the exercise of which is determined by law,regulation or administrative provision for the possession of a specific professional qualification, capacity or membership in a state recognized professional organization.
Only the authorities of the UCITS home Member State shall have the power to take action against that UCITS if it infringes any law,regulation or administrative provision or any regulation laid down in the fund rules or in the instruments of incorporation of the investment company.
